1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding contract between you (or the corporate entity on whose behalf you act) and deHertz Technologies FZ-LLC ("deHertz", "we", "us"). These Terms govern your purchase and use of the deHertz wearable memory pendant hardware, firmware, companion mobile apps, and web cloud services (the "Service").

By purchasing a device, activating an account, or accessing any part of the Service, you signify your unconditional agreement to be bound by these Terms and our Privacy Policy.

2. User Accounts & Workspace Governance

To access deHertz intelligence features, you must register for an account. You agree to provide accurate registration details and safeguard your credentials.

• Organization Workspaces: Workspaces created under a company domain or business subscription are administered by the Organization Owner/Admin. Admins have administrative rights to manage member access and device pairings.
• Device Pairing Limits: Each physical or simulated deHertz pendant is bound to a registered organization workspace. Re-pairing a device to a new workspace requires explicit authorization.

3. Hardware Purchases, Warranty & Delivery

All hardware orders placed through deHertz web or authorized distributors are subject to the following terms:

• Pricing & Currency: Prices are displayed in AED (United Arab Emirates Dirhams) or local currency equivalents, exclusive of applicable regional customs duties or VAT.
• 1-Year Limited Warranty: deHertz warrants that the hardware pendant is free from defects in materials and workmanship for twelve (12) months from the delivery date under normal use.
• Returns & Replacements: Unopened and undamaged units may be returned within 14 days of receipt for a refund (less shipping handling fees).

4. Audio Recording Compliance & Acceptable Use

You agree to use deHertz strictly for lawful personal and professional productivity.

You represent and warrant that you will not use deHertz to record conversations in violation of applicable local, federal, or international wiretapping, eavesdropping, or privacy legislation. You bear sole liability for obtaining all necessary verbal or written consents prior to recording any third party.

5. AI Intelligence & Accuracy Disclaimer

deHertz uses cutting-edge speech recognition and neural language models to transcribe and extract intelligence (tasks, reminders, financial figures, commitments). However, generative AI models can occasionally produce inaccuracies, omissions, or misinterpretations.

AI summaries and action items are assistive tools and should never substitute for official legal contracts, medical diagnoses, or financial audits without human verification.

6. Intellectual Property & Data Ownership

• Your Content: You retain 100% intellectual property ownership of your raw audio recordings, transcripts, and notes.
• deHertz IP: deHertz and its licensors retain all rights, title, and interest in the pendant design, firmware, logos, software algorithms, and visual interfaces.

7. Limitation of Liability & Governing Law

To the maximum extent permitted by law, deHertz Technologies FZ-LLC shall not be liable for indirect, punitive, special, or consequential damages resulting from loss of recordings, device damage, or reliance on AI summaries. Total aggregate liability is limited to the amount paid by you in the preceding 12 months.

These Terms are governed by the laws of the Emirate of Dubai and the Federal Laws of the United Arab Emirates. Any disputes shall be resolved through the courts of Dubai.
